These terms govern your use of Tripzygo OMS. By creating an account, starting a trial or using the service, you agree to them. Please read them; they are written to be understood.
“Tripzygo”, “we” and “us” mean Tripzygo Rovara Travels Private Limited, a company registered in India with its registered office at 3rd Floor, Landmark Tower, Plot no-2, South City-1, Ashok Marg, Sector 41, Gurugram, Haryana 122001, India.
“Service” means the Tripzygo OMS application at oms.tripzygo.in, including its integrations, documentation and support. “You” and “Customer” mean the business that holds the account. “Your Data” means the order, inventory, return, settlement and account data you submit to the Service or that we retrieve from a marketplace on your authorisation. “Marketplace” means a third-party e-commerce platform you connect to the Service.
If you accept these terms on behalf of a business, you confirm that you are authorised to bind that business.
Subject to these terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable right to access and use the Service for your own business purposes during your subscription term.
You are responsible for the accuracy of your account details, for the users you invite, for the roles you assign them, and for all activity that occurs under your account. Credentials must not be shared outside your business. Tell us promptly if you believe an account has been accessed without authorisation.
The Service is a business tool and is not available to individuals under 18 or to anyone barred from receiving it under applicable law.
The Service connects to Marketplaces using their published seller APIs and the authorisation you grant through each Marketplace’s own flow. You confirm that you hold a valid seller account on each Marketplace you connect and that you are entitled to authorise us to access it on your behalf.
Your use of each Marketplace remains governed by your agreement with that Marketplace, including its API and seller policies. You are responsible for complying with them. We act only within the scopes you authorise and only to perform the functions of the Service.
Tripzygo is independent and is not affiliated with, sponsored by or endorsed by any Marketplace. Marketplace availability, API behaviour, rate limits, data fields and policies are controlled by the Marketplace and can change without notice to us. Where such a change reduces or removes a capability of the Service, we will inform you and adapt where technically possible, but we are not liable for the change itself.
You may withdraw a connection at any time from within the Service or from your Marketplace account. Withdrawal stops processing for that channel immediately.
You agree not to: use the Service in breach of any applicable law or Marketplace policy; upload data you are not entitled to process; use buyer personal information for marketing, resale or any purpose other than fulfilling the order it belongs to; attempt to access another customer’s data; probe, scan or test the security of the Service except as invited under our vulnerability reporting terms; reverse engineer, copy or resell the Service; introduce malicious code; or place load on the Service designed to disrupt it.
Where we reasonably believe a use breaches this section and creates risk to other customers, to a Marketplace or to buyers, we may suspend the affected functionality or account. Except in an emergency, we will notify you first and give you an opportunity to resolve it.
Fees are those published on the Pricing page or, for Enterprise accounts, those stated in your written quote. Prices are in Indian rupees and exclusive of GST, which is charged as applicable.
Monthly plans are billed in advance for each billing month. Orders processed above your plan’s monthly limit are charged at the published overage rate and appear as a separate line on the following invoice. Upgrades take effect immediately and are charged pro rata; downgrades take effect at the start of your next billing month.
The 14-day trial requires no card and converts to a paid plan only if you ask it to. Trial accounts are subject to the caps described on the Pricing page.
If an invoice is unpaid after its due date we will contact you; if it remains unpaid 15 days after the due date we may suspend access until payment is received. Suspension does not delete Your Data.
Fees already paid are non-refundable except where required by law or where we have failed to provide the Service and have not remedied it. We may change published prices with at least 30 days’ written notice; a change does not affect the billing month already paid for, and you may cancel before it takes effect.
Courier freight, Marketplace commissions, and any charges levied by a Marketplace, logistics provider or payment provider are not part of our fees and are payable by you to them.
Your Data belongs to you. We claim no ownership of it. We process it only to provide and support the Service, as described in our Privacy Policy, which forms part of these terms.
We will keep Your Data encrypted at rest and in transit, store it in Indian data centres, restrict access to it, and not sell it or disclose it except as set out in the Privacy Policy. We will not use buyer personal information for our own purposes, and we will purge it within 30 days of order delivery.
You are responsible for having a lawful basis for the data you submit, for the accuracy of your catalogue and stock data, and for responding to buyer requests about their information as the seller of record. We will assist you in responding.
You can export Your Data at any time while the account is active. Aggregate, non-identifying operational metrics may be used to monitor and improve the reliability of the Service.
The Service, including its software, interface, documentation and the Tripzygo and Tripzygo OMS names and marks, remains our property. These terms grant you a right to use the Service, not any ownership in it. Any feedback you give us may be used to improve the Service without obligation to you, and does not transfer your ownership of Your Data.
We work to keep the Service available continuously, and monitor it accordingly. Support is provided by email and phone from Monday to Saturday, 10:00 to 19:00 IST. Enterprise agreements may state specific response targets and an availability commitment; monthly plans do not carry a contractual uptime guarantee.
Planned maintenance requiring downtime will be announced in advance where possible and scheduled outside Indian business hours where possible. Interruptions caused by a Marketplace, a courier, a payment provider or a hosting provider are outside our control, though we will queue and retry affected operations and report their status to you.
We warrant that we will provide the Service with reasonable skill and care and in accordance with these terms.
Beyond that, and to the extent permitted by law, the Service is provided as is. We do not warrant that it will be uninterrupted or error free, that a Marketplace will accept every update we send, or that data supplied to us by a Marketplace is complete or accurate. The Service supports your commercial decisions; it does not make them. Reconciliation outputs, reports and alerts are tools for your review, not financial, tax or legal advice.
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of profit, loss of anticipated savings, loss of goodwill, or loss of business opportunity.
Our total aggregate liability arising out of or in connection with these terms is limited to the fees paid by you to us for the Service in the twelve months preceding the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.
Monthly subscriptions continue until cancelled. You may cancel at any time before your next billing date, and access continues to the end of the billing month already paid for. Enterprise subscriptions run for the term stated in the agreement.
Either party may terminate for material breach that is not remedied within 30 days of written notice. We may terminate immediately where required by law, or where your use creates immediate risk to other customers, a Marketplace or buyers.
On cancellation, export Your Data before access ends. Account data is deleted within 30 days of your deletion request, as described in the Privacy Policy. If a subscription lapses without a deletion request, the account is held suspended for 60 days so you can export or resume, and is then deleted. We retain only the invoices and transaction records required under Indian tax and company law.
We may improve the Service and add capabilities. Where we intend to remove or materially reduce a capability you rely on, we will give at least 30 days’ notice by email to account owners.
We may update these terms. The current version is always published on this page with its last-updated date. Material changes will be notified to account owners by email at least 30 days before they take effect. Continuing to use the Service after that date means you accept the updated terms; if you do not, you may cancel before they take effect.
These terms are governed by the laws of India. The courts at Gurugram, Haryana have exclusive jurisdiction over any dispute arising out of or in connection with them.
Before starting proceedings, both parties agree to attempt to resolve the dispute in good faith by writing to the other with the details and allowing 30 days for a response.
These terms, together with the Privacy Policy and any written quote or order form, form the entire agreement between us on their subject matter. If any provision is found unenforceable, the rest continues to apply. A failure to enforce a right is not a waiver of it.
You may not assign these terms without our written consent. We may assign them to a successor in connection with a merger, acquisition or sale of the business, on notice to you.
Neither party is liable for failure to perform caused by an event beyond its reasonable control, provided it takes reasonable steps to mitigate the effect.
